1. THIS PROMOTION IS VALID IN THE UNITED STATES ONLY AND IS VOID WHERE PROHIBITED BY LAW.

2. WINNERS WILL BE DETERMINED BY THE CRITERIA SET FORTH HEREIN.
All winners will be selected at random from all Eligible Entries (defined below) received during the Promotion Period (defined below).

3. PRIZES
The winner(s) will be eligible for the following prizes:

• One(1) Weekly winner will receive: An 8 oz. Bottle of Deep Treatment Intensive Conditioner plus free ground/standard shipping of said prize to a UPS-able address in the continental United States.

3. PROMOTION PERIOD
Begining on May 02, 2005, a seven(7) day Promotion Period will begin each Monday at 12:00 a.m. EST. Entries for a given Promotion Period may be submitted up until a new Promotion Period begins or until 11:59:59 PM EST on the Sunday following the start of a Promotion Period. Once a Promotion Period has begun, all entries will count towards the current Promotion Period and may not be applied to any previous Promotion Periods.

4. ELIGIBLE ENTRIES
NO PURCHASE IS REQUIRED TO ENTER. In addition to the terms provided herein, entries may only be submitted electronically via the Entry Form provided on Ouidad.com. No mail-in or phone entries will be accepted. To be eligible to for the prize drawing:

• i) Each entrant must completely fill in the online Entry Form provided for this purpose at www.ouidad.com. In doing so the entrant acknowledges that a Ouidad.com user account will automatically be created for the entrant if one does not already exist.
• ii) Only one entry per Promotion Period will be allowed per email address as specified in the Entry Form
• iii) Only one winner will be selected per household based on the street address provided in the Entry Form.
• iv) Entrants must be legal residents of the United States.
• v) Entrants musty be 6 years or older to qualify for this Promotion. Any entrant under the age of 18, as of the close of the Promotion Period, must be entered by a parent or legal guardian and must be accompanied by said parent or guardian, if applicable to the prize won.
• vi) Employees, agents, successors and assignees of Ouidad.com, its advertising agencies and promotional companies involved in the Promotion, as well as family and household members of each of the foregoing, shall be ineligible to participate in the Promotion and shall be ineligible for any prize described herein.
• vii) Entries generated by a script, macro or other automated means are null and void and will be disqualified.

5. HOW TO ENTER
An "Entrant" is any individual who submits an Eligible Entry as described above and meets all other eligibility requirements described herein.

Entries for this Promotion will be accepted only via the online Entry Form located at:

No entry will be accepted via facsimile, commercial courier, e-mail, postal mail, telephone or any other means of delivery. An entry will not be valid unless all of the required fields of the online entry form are completed. In the event of a dispute about the identity of an Entrant, the authorized account holder of the email address submitted at the time of entry will prevail. The authorized account holder is defined as the person who is assigned to the e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the second level domain name associated with the submitted e-mail address. The potential winner may be required to provide Ouidad.com with proof that he or she is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved, the entry will be deemed ineligible.

Upon submitting an entry, a Ouidad.com account will be automatically created for the entrant based on the information provided by the entrant via the entry form. If the entrant already has a Ouidad.com account associated with the email address provided on the entry form, that account will remain active and no new account will be created. There is no obligation on the part of the entrant implied by having a Ouidad.com account. This account will allow the entrant to access certian parts and features of the Ouidad.com web site that are for members only.

6. PRIZE AND WINNER SELECTION
At the end of the Promotion Period, the winning Entrant(s) will be selected by random drawing from the pool of Eligible Entries (as defined herein).

Odds of winning a Prize depend on the number of entries received by Ouidad.com during the Promotion Period. Except as expressly provided herein, a Prize is not transferable and no substitution of a Prize is permitted. The Ouidad.com will not replace any lost or stolen prize items.

ANY PRIZE IS AWARDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL FEDERAL, STATE, LOCAL OR OTHER TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER(S). THE WINNER(S) WILL BE SOLELY RESPONSIBLE FOR ANY INSURANCE COSTS ASSOCIATED WITH DELIVERY OF ANY PRIZE UNLESS OTHERWISE NOTED.

The name of each Winner may be posted online on Ouidad.com and each Winner will be notified by electronic mail (email) within three (3) days of the date on which such Winner is selected by the Ouidad.com. Noncompliance with these requirements or any other term herein will cause the Winner to be disqualified and an alternate winner to be selected. Any prize notification email returned as undeliverable will result in disqualification of the intended recipient of such notification and selection of an alternate winner.

By accepting any Prize, each Winner releases Ouidad.com, its parents, affiliates, subsidiaries, advertising and promotion agencies and their directors, officers, office employees and agents, from any and all liability, loss or damage incurred with respect to all aspects of the Promotion and the awarding, receipt, acceptance, possession, use, or misuse of any prize, including liability for personal injury, death, damages or loss.

Unless prohibited by law, by accepting any Prize, each Winner grants permission to Ouidad.com and its affiliates and subsidiaries to use the Winner's name, biographical information, likeness and/or statements made by or attributed to such Winner and relating to Ouidad.com, any Prize and/or the Promotion for publicity and promotional purposes without further compensation.

7. DISCLAIMERS
No responsibility, damage, loss or injury is assumed by Ouidad.com, or any subsidiary and/or affiliated company of Ouidad.com or their officers, directors, agents and employees (collectively, the "Released Parties") for: (i) incomplete, late, lost, misappropriated, garbled, illegible, damaged or misdirected entries; (ii) any printing or typographical errors in any materials associated with the Promotion; (iii) any human, telephone, technical, computer or online malfunction, bug, error or any other technical malfunction and/or problem of any origin; (iv) the inability of any person to access the Entry Form for any reason; or (v) the use of any Prize.

The Entrant agrees to indemnify, hold harmless and release the Released Parties, their agents, affiliates and assigns from any and all liabilities for injuries, claims, damages or expenses, including, without limitation, attorneys' fees or injuries, claims, damages or expenses resulting from copyright infringement, sustained in connection with or arising out of the Promotion (including the software associated with it), the breach of any of the Entrant's representations and warranties herein, the registration to become a Ouidad.com Registered User, the submission of any entry or the acceptance, possession, receipt or use of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional).

NEITHER OUIDAD.COM OR ANY OF ITS AGENTS OR AFFILIATES OR ASSIGNS SHALL BE RESPONSIBLE FOR ANY COSTS OR DAMAGES INCURRED BY ANY ENTRANT AS A RESULT OF PARTICIPATING IN THE PROMOTION, SUBMITTING AN ENTRY, WINNING ANY PRIZE OR ANY DAMAGE OTHERWISE ARISING OUT OF THIS PROMOTION, WHETHER DIRECTLY OR INDIRECTLY, INCLUDING, WITHOUT LIMITATION, ANY SERVER FAILURES, HARDWARE OR SOFTWARE FAILURES, LOST, MISAPPROPRIATED OR CORRUPTED ENTRIES, VIRUS, WORM OR TROJAN HORSE DAMAGE, OR ANY OTHER DAMAGE, MALFUNCTION, FAILURE OR DISRUPTION ARISING OUT OF OR IN CONNECTION WITH THIS PROMOTION.

Ouidad.com reserves the right at its sole discretion to disqualify any individual (at any time and without prior notice to such individual): found to be tampering with the entry process or the operation of the Promotion; to be acting in violation of these Terms; to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or for any other reason whatsoever.

The Entrant hereby acknowledges that the Entrant is not entitled to any compensation or right of approval in connection with the Promotion or Ouidad.com's exercise of any right or power granted by the Entrant to Ouidad.com hereunder.

8. SPONSOR POWERS
Ouidad.com will have the power to rule on all aspects of the Promotion. The decisions of Ouidad.com shall be final and irreversible. Ouidad.com reserves the right to make any necessary or appropriate changes to the Promotion as it progresses. Ouidad.com reserves the right to cancel or modify the Promotion in whole or in part in event of technical or other difficulties or for any other reason at any time.

The Promotion is subject to these Terms and all applicable federal, state, and local laws and regulations. By participating in this Promotion, you acknowledge that you have read these Terms and agree to abide by the decisions of Ouidad.com, which are final and binding on all matters pertaining to the Promotion. All U.S. federal, state and local laws and regulations apply. Ouidad.com reserves the right to change these Terms at any time and for any reason whatsoever, in its sole discretion.

Winners' names may be obtained at the after the end of the Promotion Period and for thirty (30) days thereafter by sending a self-addressed stamped envelope to Ouidad, PO Box 80, Bethel, CT 06801.

9. GOVERNING LAW
This Promotion and the Terms herein are governed by the laws of the United States of America and the state of Connecticut.
